These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and COREnergy Inc. (“COREnergy,” “we,” “us,” or “our”) governing your access to and use of [insert website URL] and any related pages, media forms, media channels, mobile website or mobile application (collectively, the “Site”).
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
We may update these Terms from time to time. We will post the revised Terms with the “Last updated” date above. Your continued use of the Site after posting means you accept the changes.
The Site is controlled and operated from the Philippines and is not intended for use where such use would be contrary to law or subject us to registration in any other jurisdiction. If you access the Site from outside the Philippines, you do so at your own initiative and are responsible for compliance with local laws.
The Site is intended for users 18 years old and above. If you are a minor (below 18), you may use the Site only with the consent and supervision of your parent/guardian, who agrees to these Terms on your behalf.
Unless otherwise indicated, the Site, including all content, software, code, design, text, graphics, logos, photos, audio, video, and other materials (collectively, “Content”), and the trademarks, service marks, and logos displayed (“Marks”) are owned by or licensed to COREnergy and are protected by the Intellectual Property Code of the Philippines (R.A. 8293) and other applicable laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Site and to download/print a copy of Content for your personal, non-commercial use only. No other rights are granted. You may not copy, reproduce, modify, publish, sell, license, reverse engineer, or otherwise exploit the Site, Content, or Marks without our prior written permission.
By using the Site, you represent and warrant that:
· (a) you have legal capacity and agree to comply with these Terms;
· (b) if you are a minor, your parent/guardian has consented and supervises your use;
· (c) you will not use automated or non-human means (bots, scripts) to access the Site;
· (d) your use will be lawful and will not violate any applicable Philippine law, rule, or regulation.
We may suspend or terminate your access if any information you provide is inaccurate, or if you breach these Terms.
You may be required to create an account. You are responsible for keeping your credentials confidential and for all activities under your account. We may refuse or reclaim usernames that are inappropriate or infringe rights.
You agree not to:
1. Collect or harvest data from the Site to build a database or directory without our written consent;
2. Create accounts by automated means or under false pretenses;
3. Use the Site to advertise or sell goods/services not authorized by us;
4. Circumvent or interfere with security features or Content-use limitations;
5. Frame or link to the Site in an unauthorized manner;
6. Mislead or defraud us or other users;
7. Abuse support channels or submit false reports;
8. Use data mining, scraping, robots, or similar tools without permission;
9. Disrupt or overburden our infrastructure or networks;
10. Impersonate another person or sell/transfer your profile;
11. Harass, intimidate, threaten, or harm others;
12. Reverse engineer or decompile any part of the Site;
13. Upload malware, viruses, spyware, or passive data collection mechanisms intended to monitor or disrupt;
14. Remove proprietary notices from Content;
15. Use the Site to compete with us or for any revenue-generating endeavor not authorized by us;
16. Use the Site in a manner inconsistent with applicable laws (including the Cybercrime Prevention Act (R.A. 10175) and related issuances).
Where the Site allows uploads, postings, or submissions (“Contributions”), you warrant that you own or have the necessary permissions for your Contributions; they do not infringe rights or laws; and they are not unlawful, defamatory, obscene, hateful, or otherwise objectionable.
License you grant to us. By submitting Contributions, you grant COREnergy a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, publish, display, and distribute your Contributions for Site-related purposes. You retain ownership of your Contributions. We may remove or edit Contributions at our discretion.
If you leave reviews or provide feedback, you agree they will be truthful and not misleading, unlawful, or discriminatory. You grant us a perpetual, royalty-free license to use feedback for any lawful purpose. We may moderate or remove reviews at our discretion.
If you access the Site via a mobile app, we grant you a revocable, non-exclusive, non-transferable license to install and use the app on your device in accordance with these Terms and applicable app-store rules. You must not reverse engineer, modify, or use the app for unauthorized purposes.
The Site may link to third-party sites or services. We are not responsible for third-party content, policies, or practices. Your use of third-party sites is at your own risk. Any links or integrations do not imply endorsement.
Any questions, comments, suggestions, or ideas (“Submissions”) you send are deemed non-confidential and become our sole property. We may use and disclose Submissions without compensation to you.
Your use of the Site is subject to our Privacy Policy (Philippine-aligned under the Data Privacy Act of 2012 (R.A. 10173)). By using the Site, you consent to processing in the Philippines and to our privacy practices described there.
We respect intellectual property rights. If you believe the Site contains material that infringes your copyright or other IP rights under R.A. 8293 (IP Code), please send a written notice with: (a) your contact details; (b) description and proof of the right claimed; (c) identification and location (URL/screenshot) of the allegedly infringing material; (d) a good-faith statement that the use is not authorized; and (e) your physical/electronic signature. Send to: corenergy@corenergy.com.ph (Subject: “IP Infringement Notice”). We may take appropriate action, which can include removal/disablement of material, while reserving our rights and defenses.
We may monitor the Site for compliance; restrict or disable access to any Content or Contributions; remove files or content that are excessive in size or burdensome; and operate the Site to protect our rights and ensure proper functioning.
We may change, update, suspend, or discontinue the Site (in whole or part) at any time without notice. We do not guarantee continuous availability. We are not liable for any loss or inconvenience due to downtime, maintenance, or modifications.
The Site is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by Philippine law, we disclaim all warranties, express or implied (including merchantability, fitness for a particular purpose, non-infringement, and accuracy). We do not warrant that the Site will be uninterrupted, secure, or error-free.
To the fullest extent permitted by Philippine law, in no event shall COREnergy, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, revenue, or data) arising from or related to your use of the Site.
Aggregate cap. To the fullest extent permitted by Philippine law, and notwithstanding anything to the contrary, COREnergy’s total aggregate liability for any and all claims arising out of or related to the Site shall in no event exceed the total fees actually paid by you to COREnergy for access to or use of the Site in the twelve (12) months immediately preceding the event giving rise to the claim. If no fees were paid or collected for such period, COREnergy shall have no liability. Certain laws may not allow limits on liability; where such limits are not permitted, this clause shall apply to the maximum extent allowed by law.18) Indemnification
You agree to defend, indemnify, and hold harmless COREnergy, its affiliates, and their officers, agents, and employees from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Site; (b) your Contributions; (c) your breach of these Terms; or (d) your violation of any rights or laws.
By visiting the Site, emailing us, or submitting forms online, you consent to receive communications electronically and agree that electronic signatures, contracts, notices, and records satisfy legal requirements under the Electronic Commerce Act (R.A. 8792) and related rules.
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules.
· Venue & Jurisdiction. Any dispute shall be filed exclusively with the courts of Mandaue City, Cebu, to the exclusion of all other venues, without prejudice to the right to seek injunctive relief elsewhere if necessary.
· Amicable Settlement / ADR (Optional but recommended). Before filing suit, the parties shall first attempt good-faith negotiation for thirty (30) calendar days. The parties may also agree to arbitration under the Alternative Dispute Resolution Act (R.A. 9285), administered by the Philippine Dispute Resolution Center, Inc. (PDRCI), seat in Cebu City, using PDRCI rules. This clause does not prevent either party from seeking urgent injunctive relief.
The Site may contain typographical errors or omissions. We may correct or update information at any time without notice.
These Terms and any policies posted on the Site constitute the entire agreement between you and COREnergy regarding the Site. Our failure to enforce any provision is not a waiver. If any provision is unlawful or unenforceable, the remaining provisions remain in full force. No joint venture, partnership, employment, or agency relationship is created by your use of the Site. You agree these Terms will not be construed against the drafter.
